The Cyril Duncan Siam Children's Foundation

1

Name: The name of the body is "The Cyril Duncan Siam Children's Foundation".

Main Object: The main object for which the body is established is as follows:
To advance in life and help children living in Thailand by securing and administering funds for the advancement of their education and for the relief of poverty suffered by the children and their families, as well as for projects and measures aimed at improving the health of those children, in partnership with other charities, development agencies and non-governmental organisations, as a means of improving the quality and conditions of life for children living in Thailand.

Subsidiary object(s): The body shall have the following subsidiary objects:

To form alliances with other groups and organisations with similar aims and objectives.

To carry out research relevant and helpful in the furtherance of the main object of the body.

 

3

To advance in life and help children living in countries bordering Thailand in the manner set forth in the main objects of the body, as may be necessary, from time to time, due to great need, war, natural disaster or other unforeseen calamities.

 

4

To raise awareness of the plight and condition of the children living in Thailand and countries bordering Thailand.

 

5

To act as a resource for children living in Thailand by providing advice and assistance and organising programmes of physical, educational and other activities as a means of developing their skills, capabilities and capacities and to improve their conditions of life.

To provide personnel, resources and services directly in Thailand and the countries bordering Thailand in furtherance of the main and subsidiary objects of the body.

Powers.  
To the extent that the same are essential or ancillary to the promotion of the main and subsidiary objects of the body as heretofore set out the body may exercise the following powers:

To raise funds and, in so doing comply with any relevant statutory regulations;

To buy, take on lease or in exchange, hire or otherwise acquire any property and to maintain and equip it for use;

 

3

To sell, lease or otherwise dispose of all or any part of the property belonging to the body and in so doing, comply with all relevant statutory obligations.

To co-operate with other charities, voluntary bodies and statutory authorities and to exchange information and advice with them;

 

5

To obtain and pay for such goods and services as are necessary for carrying out the work of the body;

 

6

To open and operate such bank and other accounts as the Executive Committee consider necessary;

 

7

To do all such other lawful things as are necessary for the achievement of the objects, both main and subsidiary of the body.

Rules

The body will have a membership which must have at least five members, at any given time.

The powers of the body and the day to day running and organisation of the body will be delegated to an Executive Committee consisting of at least three members of the body.

The Executive Committee will comprise a chairperson, secretary and treasurer, respectively.

The Executive Committee will be appointed by a majority vote of the membership and may be appointed either by a meeting of the general membership or by written resolution signed by the members.

Decisions of the Executive Committee will be by majority vote.

General membership is by introduction and acceptance by the Executive Committee.

Income and Property
The income and property of the body, shall be applied solely towards the promotion of its main objects set forth in this Constitution. No portion of the body's income and property shall be paid or transferred directly or indirectly by way of dividend, bonus or otherwise howsoever by way of profit, to the members of the body. No Officer shall be appointed to any office of the body paid by salary or fees, or receive any remuneration or other benefit in money or money's worth from the body. However, nothing shall prevent any payment in good faith by the body of:

 

a

reasonable and proper remuneration to any member of the body (not being an Officer) for any services rendered to the body;

 

b

interest at a rate not exceeding 5% per annum on money lent by Officers or other members of the body to the body;

 

c

reasonable and proper rent for premises demised and let by any member of the body (including any Officer) to the body;

 

d

reasonable and proper out-of-pocket expenses incurred by any Officer in connection with their attendance to any matter affecting the body;

 

e

fees, remuneration or other benefit in money or money's worth to any Company of which an Officer may be a member holding not more than one hundredth part ofthe issued capital of such Company.

Winding-up
If up on winding up or dissolution of the body there remains, after the satisfaction of all its debts and liabilities, any property whatsoever, it shall not be paid to or distributed among the members of the body. Instead, such property shall be given or transferred to some other charitable institution or institutions having main objects similar to the main objects of the body. The institution or institutions to which the property is to be given or transferred shall prohibit the distribution of its or their income and property among its or their members to an extent at least as great as is imposed on the body under or by virtue of Clause 6 hereof Members of the body shall select the relevant institution or institutions at or before the time of dissolution, and if and so far as effect cannot be given to such provisions, then the property shall be given or transferred to some charitable object.

Additions, alterations or amendments
No addition, alteration or amendment shall be made to or in the provisions of this Constitution for the time being in force unless the same shall have been previously approved in writing by the Revenue Commissioners.

Keeping of Accounts
Annual audited accounts shall be kept and made available to the Revenue Commissioners on request.
